1. Acceptance of Terms

By accessing or using PXO App, you agree to be bound by these Terms. These Terms are drafted in compliance with Canadian consumer protection laws. If you do not agree to these Terms, do not use the service.

2. Description of Service

PXO App is a pass-through digital wallet that allows you to store tokenized payment credentials and present them to merchants via QR code for payment processing. PXO App does not process, settle, or hold funds. All payment transactions are processed by the merchant's acquiring bank and the applicable card network (Visa, Mastercard, or American Express).

3. Eligibility

To use PXO App, you must:

Be at least 18 years of age

Be a resident of Canada or the United States

Successfully complete identity verification

Provide accurate and truthful information during registration

4. User Responsibilities

You agree to:

Provide accurate information and maintain the security of your account credentials

Use only payment cards that are issued in your name and that you are authorized to use

Notify us immediately if you suspect unauthorized access to your account

Not share your PIN, password, or biometric access with any other person

You are responsible for all activities that occur under your account. Prohibited activities include fraud, money laundering, unauthorized use of another person's payment credentials, and violation of any applicable Canadian laws.

5. Identity Verification

PXO App requires identity verification (KYC) through our third-party provider, Plaid Inc. By using PXO App, you consent to Plaid collecting and processing your identity information in accordance with Plaid's Privacy Policy (https://plaid.com/legal). PXO App reserves the right to suspend or terminate accounts that fail identity verification.

6. Payment Credentials and Tokenization

PXO App stores only tokenized representations (DPANs) of your payment cards, issued by the respective card networks. PXO App does not store your full card number, CVV, or PIN. You acknowledge that:

Token provisioning is subject to approval by the issuing card network

Tokens may be suspended or revoked by the card network or card issuer at any time

PXO App is not responsible for declined transactions resulting from token suspension, network outages, or issuer decisions

7. Single-Device Restriction

For security purposes, PXO App permits only one active session per account at any time. Logging in on a new device will automatically terminate any existing session on a previous device.

8. Account Termination

You may delete your account at any time through the app. Upon deletion:

All stored payment tokens will be deactivated

Your personal data will be deleted, except where retention is required by law

Identity verification records will be retained for 5 years as required by applicable regulations

PXO App reserves the right to suspend or terminate your account if we reasonably believe you have violated these Terms or engaged in fraudulent activity.

9. Limitation of Liability

To the maximum extent permitted by applicable law, PXO App shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Failed or declined payment transactions

Card network or issuer decisions regarding tokenization

Unauthorized access resulting from your failure to secure your credentials

Service interruptions caused by third-party providers

Our total liability is limited to the amount you paid to use the service in the past 12 months, if any.

10. Disclaimer of Warranties

PXO App is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or that all payment transactions will be successfully processed. Payment processing depends on third-party card networks and merchant systems outside our control.

11. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in Toronto, Ontario, except where prohibited by provincial consumer protection legislation.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the app or via email. Continued use of PXO App after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
